Terms of service
Terms and Conditions of Sale
Thomas & George Fine Furniture Inc.
Effective: June 1, 2026
These Terms govern every sale of goods and related services by Thomas & George Fine Furniture Inc. to any buyer, and they override any buyer terms, purchase orders or course of dealing unless an authorized officer of the Seller signs a written exception.
1. Definitions and Scope
1.1 "Seller" means Thomas & George Fine Furniture Inc. "Buyer" means the person or entity placing an order. "Goods"means all furniture, fixtures, accessories and materials sold by the Seller. "Services" means delivery, assembly, installation, design and any other service the Seller provides. "Order" means the Buyer's request to purchase Goods or Services. "Custom Goods" means Goods made, modified, sized, finished or upholstered to the Buyer's specifications or selections.
1.2 By placing an Order, paying any deposit, accepting delivery or signing any sales document, the Buyer accepts these Terms in full.
1.3 If these Terms conflict with a quotation or sales order, the Terms prevail unless the quotation or sales order expressly names the clause it overrides and an authorized officer of the Seller signs it.
1.4 Statements by sales staff, designers, delivery crews or marketing material do not vary these Terms. The Buyer confirms it has not relied on any statement not written in these Terms or the signed sales order.
1.5 The Seller may update these Terms at any time for future Orders. The version in force on the date of the Seller's acceptance governs that Order.
1.6 These Terms apply to the Seller's website and online store (operated on the Shopify platform), showrooms, telephone, email and any other sales channel. The Buyer contracts with the Seller alone. Shopify and other platform providers are not parties to any sale and bear no responsibility for it, and the Buyer releases them from all claims arising from its purchases.
1.7 The Buyer represents that it is at least the age of majority where it lives, has authority to bind any company it purchases for, and buys for its own personal, household or internal business use and not for resale or export. The Seller may cancel any Order that breaches this clause and keep any deposit.
1.8 The Buyer warrants that all information it provides (name, contact, billing, payment and delivery details) is true, current and complete, and must update it promptly. The Buyer is solely responsible for its account credentials and for all activity under its account, and may not transfer or assign its account.
1.9 Product images, renderings, colors, dimensions and descriptions are illustrative only. Screens vary, and the Seller does not warrant that any Goods will match their depiction or the Buyer's expectations. The Seller may change descriptions, discontinue any product, and limit quantities by person, region or jurisdiction at any time without notice. Limited-edition and one-of-a-kind pieces are sold while stock lasts and cannot be reserved without a deposit.
2. Quotations, Orders and Acceptance
2.1 A quotation is an invitation to order, not an offer. It lapses after fourteen (14) days unless the Seller withdraws it sooner, and the Seller may withdraw or revise it at any time before acceptance.
2.2 An Order binds the Buyer on submission. It binds the Seller only when the Seller accepts it in writing under clause 2.6. The Seller may decline any Order for any reason.
2.3 The Buyer is solely responsible for the accuracy of all dimensions, finishes, fabrics, quantities, delivery addresses and specifications on the Order, and for confirming that Goods will fit the intended space, including doorways, stairwells, elevators and access routes.
2.4 The Seller may correct clerical, pricing or description errors at any time before delivery. If a correction raises the price, the Buyer may cancel only the affected item by written notice within two (2) days, and the Seller will refund amounts paid for that item less any non-refundable charges.
2.5 Goods are sold subject to availability. The Seller may substitute materially equivalent components or finishes where a specified one becomes unavailable.
2.6 Acceptance mechanics. An automated acknowledgment, order number, checkout success page, payment authorization, payment receipt or generated document headed "order confirmation" confirms receipt or payment only. The Seller accepts an Order only when an authorized representative confirms it in a separate written message identifying the accepted items and price, or when the Seller releases the Goods for delivery, whichever is first. Collection of payment alone is not acceptance.
2.7 Rejection before acceptance. Before acceptance the Seller may decline all or part of an Order, including for a pricing or listing error, unavailability, inability to meet the specifications, payment failure, suspected fraud, legal restriction or a quantity limit. The Seller will notify the Buyer and refund amounts collected for the declined items to the original payment method.
2.8 Verification. The Seller may require verification of identity, authority to use a payment method and delivery address, and may hold, cancel or refuse any Order where it has reasonable concerns about fraud or payment security.
3. Prices, Taxes and Charges
3.1 Prices are stated in Philippine pesos (PHP) unless another currency is expressly identified. Prices to Philippine consumers include VAT where the law requires it. Unless the sales order itemizes them as included, prices exclude delivery, assembly, installation, special handling, insurance and storage and, for international Orders, all destination duties, customs charges and taxes.
3.2 The Buyer pays all applicable taxes, including value-added and sales taxes, unless the quoted price is stated to include them. If the law changes, or an authority assesses additional tax, the Buyer pays the difference on demand.
3.3 The Seller may adjust the price of any Order not yet delivered to reflect increases in materials, freight, tariffs, currency exchange or supplier costs. For Custom Goods and orders with a lead time over sixty (60) days, the Seller may do so by written notice before delivery.
3.4 Promotional prices, discounts and bundles cannot be combined unless stated in writing, and the Seller may withdraw them at any time before acceptance of an Order.
3.5 The Seller may charge additional fees for changes to an Order after acceptance, failed or rescheduled deliveries, extended storage, difficult access, stair carries, removal of old furniture and waiting time.
3.6 Errors. At any time before acceptance, the Seller may correct any error in a price, promotion, description, dimension, material, image, inventory, availability, tax, delivery charge or lead time, including an error caused by data entry, software, theme, platform, integration, synchronization, payment-processing or currency fault, whether or not an automated acknowledgment was sent or payment was collected. A zero, nominal or unusually low price, including PHP 1, is presumed to be an error and does not create a free-goods offer or a valid promotion.
3.7 Effect of an error. On discovering an error, the Seller may suspend the affected listing or checkout, and may reject or cancel an affected Order or invite the Buyer to resubmit it at the corrected price. If the Seller cancels an Order for such an error before acceptance, its sole liability is to refund amounts collected for the cancelled items to the original payment method, without deduction. For an accepted Order, the Seller may ask the Buyer to agree to a correction or cancellation and may exercise any remedy the law gives it for mistake.
3.8 No manipulation. The Buyer must not use bots, altered requests, scripts or other unauthorized means to manipulate prices, discounts, inventory, checkout or payments, and must tell the Seller of a suspected error before relying on it. The Seller may cancel any Order placed in breach, without liability, and report it to the competent authorities.
4. Deposits, Payment and Late Payment
4.1 Deposit. The Buyer pays a deposit of fifty percent (50%) of the Order total on placing the Order for in-stock Goods, and sixty percent (60%) for Custom Goods. The Seller has no obligation to order, reserve, produce or schedule anything until the deposit clears.
4.2 Balance. The Buyer pays the full balance in cleared funds before the Goods leave the Seller's premises or warehouse, and in any event no later than seven (7) days after the Seller notifies the Buyer that the Goods are ready. The Seller may withhold delivery until it receives payment in full.
4.3 Deposits are earnest money. Deposits are non-refundable except as these Terms expressly provide, and the Seller may keep them as a genuine pre-estimate of its loss and as compensation for reserved inventory, production slots and handling.
4.4 Payment methods. The Seller may accept payment by bank transfer, card or other methods it chooses. The Buyer bears all card, transfer and currency conversion charges. Payment by cheque is not complete until the funds clear. A dishonored payment incurs an administrative charge of [amount] plus the Seller's bank charges.
4.5 Late payment. Overdue sums accrue interest at one and one-half percent (1.5%) per month, or the maximum rate the law allows if lower, from the due date until payment in full, before and after judgment. The Buyer also pays all costs of collection, including reasonable attorneys' fees, collection agency fees and court costs.
4.6 No set-off. The Buyer may not withhold, deduct or set off any amount owed to the Seller because of any claim, dispute or counterclaim.
4.7 Application of payments. The Seller may apply any payment received to the oldest outstanding invoice or to costs and interest first, regardless of any instruction from the Buyer.
5. Custom and Made-to-Order Items
5.1 Final and non-cancellable. Custom Goods are made specifically for the Buyer. Once the Seller accepts the Order and the deposit clears, the Order cannot be cancelled, changed, returned, exchanged or refunded, and the Buyer owes the full price whether or not it takes delivery.
5.2 Approvals. Written, electronic or verbal approval of a drawing, sample, swatch, finish or specification is final. The Buyer accepts all risk of mismatch between samples, images or swatches and the finished Goods, including variation in color, grain, texture, sheen and pattern.
5.3 Lead times. Production and delivery dates are estimates only, are not of the essence, and give the Buyer no right to cancel, withhold payment or claim compensation. Changes requested by the Buyer restart the lead time and may be refused or charged.
5.4 Tolerances. The Seller may deliver Custom Goods within industry-standard tolerances, including dimensions within plus or minus two percent (2%) or [25 mm / 1 inch], and quantities within plus or minus ten percent (10%) on multi-unit orders, which the Buyer must accept and pay for pro rata.
5.5 Buyer materials. Where the Buyer supplies fabric, hardware or other materials, the Buyer bears the risk of defect, shortage, unsuitability and spoilage. The Seller may charge for waste and delay and gives no warranty on those materials or the work done on them.
5.6 Abandonment. If the Buyer fails to accept delivery or pay the balance within thirty (30) days of notice that the Goods are ready, the Seller may treat the Order as repudiated, retain all sums paid, and resell or dispose of the Goods without accounting to the Buyer. The Buyer remains liable for any shortfall.
6. Delivery, Risk of Loss and Title
6.1 Estimates only. All delivery and shipping dates are estimates, are not guaranteed, and time is not of the essence. The Seller is not liable for delay, however caused, including delay by carriers, suppliers, customs, weather, port congestion or events beyond its control. Delay does not entitle the Buyer to cancel, refuse delivery, withhold payment or claim damages.
6.2 Partial delivery. The Seller may deliver in instalments and invoice each separately. A delay or defect in one instalment does not entitle the Buyer to reject any other.
6.3 Buyer's delivery obligations. The Buyer must ensure that the delivery address is accurate, that someone aged 18 or over is present to receive and inspect the Goods, and that the access route and placement area are clear, safe and suitable. Where the Buyer fails to do so, the Seller may redeliver or store the Goods at the Buyer's cost and risk, and may charge redelivery, storage and handling fees.
6.4 Risk. Risk of loss, theft and damage passes to the Buyer on the earliest of (a) handover to a carrier or the Buyer's agent, (b) delivery to the delivery address, or (c) the date the Buyer was obliged to take delivery but did not. The Buyer should insure the Goods from that time.
6.5 Title. Title to the Goods stays with the Seller until it receives payment in full of all sums owed by the Buyer, including interest and costs. Until then the Buyer holds the Goods as bailee, keeps them insured, identifiable and in good condition, and may not sell, pledge, modify or encumber them. If the Buyer defaults, the Seller may enter any premises where the Goods are located, without liability, to repossess them, and the Buyer grants the Seller irrevocable licence to do so.
6.6 Assembly and installation. Assembly or installation, where offered, is at additional cost and is performed on the basis that the Buyer has provided a safe, level and ready site. The Seller is not liable for pre-existing conditions, walls, floors or fixtures, for damage from the Buyer's failure to prepare the site, or for removing or reinstating existing furniture.
6.7 Shipping abroad. For international or cross-border Orders the Buyer is the importer of record, and bears all duties, taxes, customs brokerage, inspection and clearance costs and delays. Goods refused, abandoned or seized remain at the Buyer's cost.
7. Inspection, Acceptance and Claims
7.1 Inspect on delivery. The Buyer must inspect the Goods and packaging at the time of delivery and note any visible damage, shortage or defect on the delivery receipt before the crew leaves. Signing the receipt without noting an exception is conclusive evidence that the Goods were delivered complete and in good condition.
7.2 Notice deadline. The Buyer must notify the Seller in writing of any claim for visible damage, shortage, wrong item or non-conformity within forty-eight (48) hours of delivery, and of any concealed defect within seven (7) days of delivery, with dated photographs and the Order number. A claim not made within these periods is waived and the Goods are deemed accepted.
7.3 Preserve evidence. The Buyer must keep the Goods, packaging and all packing materials for inspection and must not use, alter, repair or dispose of the Goods claimed against until the Seller has inspected them. Failure to do so voids the claim.
7.4 Acceptance. The Buyer is deemed to accept Goods on the earliest of signing for them, using them, or failing to give notice under clause 7.2.
7.5 Carrier damage. Where the Seller accepts a valid claim, the Seller may, at its sole option, repair, replace or credit the affected item. This is the Buyer's sole and exclusive remedy. The Seller may require the Buyer to pursue any claim first against the carrier or insurer.
7.6 Variations are not defects. Variation in color, grain, texture, scale, finish or pattern between samples, images and the delivered Goods, and minor imperfections consistent with the materials and craftsmanship, are not defects and do not support any claim.
8. Cancellations, Returns and Refunds
8.1 Cancellation. The Seller is under no obligation to accept a cancellation after it accepts an Order. If it agrees, in writing, to cancel an in-stock Order, the Buyer forfeits the deposit and pays any costs the Seller has incurred, and the Seller may deduct them from any sums held.
8.2 Returns by consent only. Goods are sold on a no-return basis. The Seller may at its sole discretion authorize a return of unused, undamaged, in-stock standard Goods if the Buyer requests it in writing within seven (7) days of delivery, obtains a return authorization number, and returns the Goods in original condition and packaging. Unauthorized returns will be refused or disposed of at the Buyer's cost.
8.3 Non-returnable Goods. The following are never returnable or refundable: Custom Goods; special orders; limited-edition, one-of-a-kind, antique, vintage, floor-sample, clearance, discounted and "as-is" items; upholstery and textiles once unwrapped; items assembled, installed, used or altered; gift cards; and deposits.
8.4 Deductions. An approved return incurs a restocking fee of thirty percent (30%) of the Goods' price. The Buyer also pays return freight, insurance, pickup and any refurbishment cost, and the Seller will not refund original delivery, assembly or installation charges.
8.5 Refund method. The Seller may refund by store credit or to the original payment method at its choice, within thirty (30) days after it receives and inspects the returned Goods. The Seller may refuse a refund where the Goods are not in the condition described in clause 8.2.
8.6 Chargebacks. The Buyer must contact the Seller and follow clause 7 and this clause before initiating any chargeback or payment dispute. If the Buyer initiates a chargeback without doing so, or the chargeback is reversed in the Seller's favor, the Buyer pays the Seller's chargeback fees, costs and a handling fee of [amount], and the Seller may provide the Buyer's order, delivery and communication records to the payment provider.
8.7 Refund Policy. The Seller's Refund Policy at https://thomasandgeorgeshop.com/policies/refund-policy forms part of these Terms. If it conflicts with these Terms, these Terms prevail to the extent the law allows.
9. Limited Warranty and Disclaimer
9.1 Limited structural warranty. For one (1) year from delivery, the Seller warrants to the original Buyer only that the frame and structure of new Goods will be free from defects in materials and workmanship under normal residential use. The warranty does not transfer, and does not apply to commercial, rental or contract use.
9.2 Sole remedy. If the Seller confirms a covered defect after inspection, the Seller will, at its sole option, repair, replace or credit the defective part or item. Repair or replacement does not extend the warranty period. This is the Buyer's exclusive remedy for any defect or non-conformity.
9.3 Exclusions. The warranty does not cover: normal wear, fading, scratches, dents, pilling, stretching, compression, settling or softening of cushions; damage from misuse, accident, abuse, spills, pets, children, sunlight, heat, cold or humidity; improper care, cleaning or maintenance; stains and fabric or leather wear; damage in transit after delivery or during a move; modifications or repairs by anyone other than the Seller; movement, cracking or shrinkage of wood or veneer; hardware, finishes, glass, mirror, stone, electrical and mechanical components, except as stated; Custom Goods using Buyer-supplied materials; and sale, clearance, floor-sample, antique, vintage and "as-is" items.
9.4 Claims process. To claim, the Buyer must notify the Seller in writing within thirty (30) days of discovering the defect, with the Order number and dated photographs, and allow the Seller to inspect the Goods, at the Buyer's cost for transport where inspection off site is needed. The Seller may refuse any claim where the Buyer fails to do so.
9.5 DISCLAIMER. EXCEPT FOR THE LIMITED WARRANTY IN THIS CLAUSE, ALL GOODS AND SERVICES ARE SOLD "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, THE SELLER DISCLAIMS ALL OTHER WARRANTIES, CONDITIONS AND REPRESENTATIONS, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, SUITABILITY, TITLE, NON-INFRINGEMENT AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. THE SELLER DOES NOT WARRANT THAT ITS WEBSITE OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. WHERE LAW DOES NOT ALLOW A DISCLAIMER, ANY IMPLIED WARRANTY IS LIMITED IN DURATION TO THE EXPRESS WARRANTY PERIOD.
10. Natural Materials, Variations and Care
10.1 The Buyer acknowledges that wood, veneer, leather, stone, marble, fabric and other natural or handcrafted materials vary in color, grain, figure, texture, knots, mineral veining, scarring and shade, and change over time with light, humidity, temperature and use. These characteristics are inherent, are not defects, and are not grounds for rejection, return, refund or warranty claim.
10.2 Solid wood and veneer expand, contract and may crack, check or move with seasonal humidity. The Buyer must keep Goods within 30–55% relative humidity and away from direct sunlight, heat sources, vents and moisture.
10.3 Leather, stone and upholstery may mark, stain, fade, scratch or wear, and require care. The Seller recommends that the Buyer follow all care instructions supplied with the Goods. Failure to do so voids any warranty to the extent the damage is attributable to it.
10.4 The Buyer must follow all assembly, load, anchoring and safety instructions. For items that may tip, including dressers, bookcases, cabinets and shelving, the Buyer must anchor them to a wall using supplied or suitable hardware, and keep them away from children. The Buyer assumes all risk of injury or damage from a failure to do so.
10.5 The Seller makes no representation about the age, provenance or origin of antique, vintage or reclaimed pieces beyond what the Order states in writing, and sells them in the condition found, with all faults and prior repairs.
11. Limitation of Liability and Indemnity
11.1 EXCLUSION. TO THE FULLEST EXTENT THE LAW ALLOWS, THE SELLER, ITS AFFILIATES, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SUPPLIERS, CARRIERS, SERVICE PROVIDERS AND LICENSORS (AND SHOPIFY AND ITS AFFILIATES) ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL LOSS OR DAMAGE, INCLUDING LOST PROFITS, REVENUE, SAVINGS, USE, GOODWILL OR DATA, REPLACEMENT OR SUBSTITUTE COSTS, STORAGE, HOTEL OR RENTAL COSTS, OR LOSS OF ENJOYMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY.
11.2 CAP. THE SELLER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO ANY ORDER, THESE TERMS, THE GOODS OR THE SERVICES, FOR ALL CLAIMS OF ANY KIND, IS LIMITED TO THE AMOUNT ACTUALLY PAID BY THE BUYER TO THE SELLER FOR THE SPECIFIC GOODS OR SERVICES GIVING RISE TO THE CLAIM, EXCLUDING TAXES, DELIVERY AND INSTALLATION CHARGES.
11.3 Time limit. Any claim against the Seller must be commenced within one (1) year after the cause of action arose, failing which it is permanently barred, to the extent the law allows.
11.4 Allocation of risk. The Buyer acknowledges that the prices reflect, and the Seller would not sell without, these limits and exclusions, which apply even if any remedy fails of its essential purpose. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by the Seller's gross negligence, but any such liability is limited to the extent permitted.
11.5 Indemnity. The Buyer will indemnify, defend and hold harmless the Seller, its affiliates, Shopify, and their officers, directors, employees, agents, contractors and service providers from all losses, damages, liabilities, claims, fines, costs and expenses, including reasonable attorneys' fees, arising from (a) the Buyer's breach of these Terms, (b) the Buyer's violation of any law or third-party right, (c) the Buyer's use, misuse, installation, modification or placement of the Goods, including any failure to anchor or follow safety instructions, or (d) the Buyer's access to or use of the Seller's website or services. The Seller may control the defense and settlement of any claim at the Buyer's expense, and the Buyer will cooperate fully.
11.6 Third-party and platform claims. The Seller is not responsible for third-party products, tools, carriers, installers or websites that the Buyer engages or accesses, even where the Seller recommends or links to them. The Buyer deals with them at its own risk and must direct any complaint to them.
12. Default, Remedies and Security
12.1 Events of default. The Buyer is in default if it fails to pay any sum when due, refuses or fails to take delivery, breaches any of these Terms, becomes insolvent, makes an assignment for creditors, has a receiver or trustee appointed, or any information it gave the Seller proves false.
12.2 Remedies. On default, and without prejudice to its other rights, the Seller may, without notice: (a) suspend or cancel any Order or delivery; (b) demand immediate payment of all outstanding sums, which then become due; (c) retain all deposits and payments as liquidated damages and not as a penalty; (d) repossess Goods under clause 6.5; (e) resell Goods and recover any shortfall and costs from the Buyer; (f) charge interest and collection costs under clause 4.5; and (g) recover storage, handling and redelivery charges.
12.3 Security interest. To secure all sums owed, the Buyer grants the Seller a continuing security interest in the Goods and their proceeds, and authorizes the Seller to register any financing statement or equivalent notice at the Buyer's cost.
12.4 Lien and set-off by Seller. The Seller may hold any Goods of the Buyer in its possession, including those left for repair, storage or finishing, until all sums owed on any account are paid, and may set off any sum owed by the Seller to the Buyer against any sum the Buyer owes the Seller.
12.5 Account suspension and termination. The Seller may suspend, restrict or terminate the Buyer's account or access to its website and services, and refuse any future Order, at any time at its sole discretion and without notice. The Buyer remains liable for all sums due up to termination.
12.6 Stored goods. Goods held at the Buyer's request or because of the Buyer's delay are stored at the Buyer's risk and cost, and the Seller owes no duty beyond reasonable care. Goods not collected within ninety (90) days of notice are deemed abandoned and may be sold or disposed of without liability.
13. Force Majeure
13.1 The Seller is not liable for any failure or delay in performance caused by an event beyond its reasonable control, including acts of God, fire, flood, earthquake, typhoon, storm, epidemic, pandemic, war, terrorism, civil unrest, strikes or labor disputes, embargoes, government orders, tariffs and trade restrictions, port, customs or carrier delays, shortages or price increases in materials or freight, supplier failure, transport disruption, and utility or network failure.
13.2 The Seller may, at its discretion, extend delivery dates, deliver in part, substitute materially equivalent materials, or cancel the affected Order and refund sums paid for Goods not delivered, without further liability.
13.3 The Buyer's obligations to pay for Goods delivered or ready for delivery are not excused by any event under this clause.
14. Intellectual Property, Feedback, Website Use and Privacy
14.1 Ownership. All content, designs, drawings, photographs, text, graphics, trademarks, trade names, logos, product designs, pricing and the arrangement of the Seller's website and materials belong to the Seller, its affiliates or licensors and are protected by intellectual property laws. The Buyer acquires only title to the physical Goods and no right in any design, pattern or trademark.
14.2 Restrictions. The Buyer may use the website for personal, non-commercial purposes only. Without the Seller's prior written consent, the Buyer must not reproduce, copy, photograph for commercial purposes, modify, reverse-engineer, publish, distribute, resell or create derivative works from, or manufacture or commission copies of, any Goods, designs or content, or use the Seller's marks. The Seller may seek injunctive relief and recover its costs and profits for any breach.
14.3 Marketing rights. The Seller may photograph the Goods as delivered and use those images, the Buyer's first name and city, and any Buyer-submitted images or reviews in its marketing, without payment or notice, unless the Buyer opts out in writing before delivery.
14.4 Feedback. Anything the Buyer submits, including ideas, reviews, suggestions, images and other content ("Feedback"), is granted to the Seller under a perpetual, irrevocable, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display it in any medium for any purpose. The Buyer warrants that it owns the Feedback, that it is truthful, lawful and not defamatory, and that it has disclosed any compensation received for it. The Seller may edit or remove Feedback and has no duty to keep it confidential, pay for it or respond to it.
14.5 Prohibited uses. The Buyer must not use the website or services (a) for any unlawful or fraudulent purpose; (b) to infringe anyone's rights or impersonate any person; (c) to harass, abuse, defame or threaten the Seller's staff or others; (d) to transmit spam, malware or false information; (e) to scrape, crawl, harvest data from, test, interfere with or circumvent the security of the website; or (f) in any way that may harm the Seller, its platform provider or other users. The Seller may suspend access and pursue all remedies for a breach.
14.6 Optional tools and links. Third-party tools and links on the website are provided "as is," without endorsement or warranty, and the Buyer uses them at its own risk and subject to their providers' terms.
14.7 Privacy. The Seller handles personal information under its Privacy Policy at https://thomasandgeorgeshop.com/policies/privacy-policy and in accordance with the Philippine Data Privacy Act. Shopify's privacy information is at https://www.shopify.com/legal/privacy/app-users. The Buyer consents to the Seller sharing it with Shopify, payment processors, carriers, installers, collection agents and other service providers, including those located in other countries, as needed to process and deliver the Order and to enforce these Terms.
15. Governing Law and Dispute Resolution
15.1 Governing law. These Terms and every Order, and any dispute or claim arising out of or in connection with them (including non-contractual disputes), are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
15.2 Exclusive jurisdiction. The Buyer irrevocably submits to the exclusive jurisdiction of the courts located in Muntinlupa City, Philippines and waives any objection based on venue or inconvenient forum. The Seller may, at its option, sue the Buyer in any court of competent jurisdiction, including where the Buyer or the Goods are located.
15.3 Pre-suit notice. Before commencing any proceeding, the Buyer must give the Seller written notice describing the claim and allow thirty (30) days to resolve it.
15.4 Arbitration (optional). [If the Seller elects arbitration: Any dispute not resolved under clause 15.3 will be finally resolved by confidential, binding arbitration before a single arbitrator under the rules of [institution] seated in [city]. The language is English. The Seller may still seek injunctive relief or collect unpaid sums in court.]
15.5 Class waiver. To the fullest extent the law allows, the Buyer may bring claims only in its individual capacity and not as plaintiff or class member in any class, collective or representative action.
15.6 Jury waiver and costs. Each party waives trial by jury to the extent the law permits. The prevailing party, which the Seller is deemed to be where it recovers any sum, is entitled to recover its reasonable attorneys' fees and costs.
16. General Provisions
16.1 Entire agreement. These Terms, the signed sales order and the policies referenced in them are the entire agreement between the parties on their subject and supersede all prior or contemporaneous statements, proposals and communications, including earlier versions of these Terms. Any ambiguity will not be construed against the drafter.
16.2 Severability. If any provision is held unlawful, void or unenforceable, it will be enforced to the maximum extent permitted and severed to the extent necessary, and the remaining provisions are unaffected.
16.3 No waiver. A failure or delay by the Seller to exercise any right is not a waiver. A waiver is effective only in writing signed by an authorized officer of the Seller and applies only to the instance stated.
16.4 Assignment. The Buyer may not assign or transfer any right or obligation under these Terms without the Seller's prior written consent, and any attempt is void. The Seller may assign or subcontract any right or obligation without notice or consent.
16.5 Changes. The Seller may amend these Terms at any time by posting the revised version on its website or notifying the Buyer, effective from the date stated. The Buyer's continued use of the website, placing of an Order or acceptance of Goods after that date is acceptance of the changes.
16.6 Notices. The Seller may give notice by email, post, telephone, text or website posting at the details the Buyer provided, and notice is deemed received twenty-four (24) hours after sending. The Buyer must give notice to the Seller in writing at the contact details below.
16.7 Electronic records. The Buyer agrees that the Seller's electronic records of Orders, communications, deliveries and payments are admissible and conclusive evidence of their contents absent manifest error, and that electronic acceptance and signature bind the Buyer.
16.8 Survival. Clauses 3 to 5, 6.4 to 6.7, 7 to 12 and 14 to 16, and any provision that by its nature should survive, survive completion, termination or cancellation.
16.9 Headings and construction. Headings are for convenience only. "Including" means "including without limitation." The Seller's remedies are cumulative and not exclusive.
16.10 Contact. Questions and notices to the Seller:

16.11 Mandatory law. These Terms apply to the fullest extent the law permits. They do not exclude or limit any right, warranty, remedy or liability that cannot lawfully be excluded or limited, including under Philippine consumer protection law, the Internet Transactions Act and the Data Privacy Act. Where a provision cannot lawfully apply to a particular Buyer or situation, it applies to the maximum lawful extent and does not affect the rest of these Terms or their application to others.
16.12 Complaints. The Buyer should send complaints to clientcare@thomasandgeorgefurniture.com with the Order reference, contact details and a description of the issue. The Seller will acknowledge and review them in good faith. Where the Internet Transactions Act applies, the internal redress process is deemed exhausted if a complaint remains unresolved seven (7) calendar days after filing, and nothing in these Terms prevents the Buyer from approaching the DTI or another competent authority.
